Job Summary:

The Legal Counsel provides effective, timely and high-skilled legal services that enable CSA Group to manage risks while meeting business objectives. This role will be responsible for deploying the global legal strategy to ensure corporate legal policies and procedures are applied consistently throughout the organization.

Responsibilities:

  • Provides high-skilled, strategic legal advice and exercises sound professional judgment.

  • Reviews, negotiates and drafts contracts for routine and complex commercial and corporate relationships.

  • Manages the litigation process, and manages external counsel, as requested. Ensures budget and project management plan established and approved by appropriate signing authority for each litigation file; reviews billings against plan on a regular and timely basis. Advises senior management and internal staff regarding status and conduct of litigation and seeks their input. Ensures that legal holds, insurance reports and reviews are prepared and circulated on a timely basis.

  • Provides as-requested legal advice to CSA Group for acquisitions, divestitures and other corporate arrangements. Retains, instructs and coordinates external counsel as necessary based on the jurisdiction and complexity of transaction. Ensures that appropriate due diligence and transactional documents are created. Participates as required in post-acquisition integration activities.

  • Advises with regard to the establishment or closing of group offices and legal entities.

  • Identifies regulatory compliance issues and makes continuous improvement suggestions.

  • Supports the design and implementation of legal policies, procedures, guidelines and training.

  • Review of marketing/communications materials.

  • Legal assessment of new business initiatives.

  • Advice relating to CSA Group’s intellectual property portfolio.

  • Advise and assist with the management of corporate privacy compliance.

  • Arranging for corporate filings under the direction of the Corporate Secretary.

  • Notarizes documents on behalf of CSA Group.

  • Cultivates and manages relationships with regional external counsel. Seeks cost estimates from external counsel and ensure they perform legal projects within agreed-to budgets.

  • Establishes programs and systems, at the direction of the chief Legal Officer and in collaboration with other members of the legal department, to enhance the effectiveness of legal support and legal risk mitigation for all operations and functions.

  • Works collaboratively with members of the legal team to ensure uniform and consistent legal services across the Company.

  • Keeps up-to-date in legal industry trends and legal and regulatory changes.

Education & Experience:

  • Law degree; licensed to practice law in the relevant jurisdiction.

  • Minimum 5-7 years of experience in corporate/commercial law.

  • Discretion handling, confidential and privileged information.

  • Familiarity with litigation, intellectual property and general employment law would be assets.

  • Professional Proficiency in English Other languages are an asset.

  • Demonstrates the highest levels of integrity, ethics and accountability.
