Reporting to the Director, Enforcement and Regulation (the “Director”), the Senior Legal Counsel, Market Regulation has in-depth knowledge of the Exchange’s operations related to the securities and business activities of its approved participants and serves as an expert on regulatory matters for the Division's units. Working with the Senior Advisor, Market Regulation, he or she develops the Division’s regulatory policy. The Senior Legal Counsel also meets the legal and regulatory needs of the Division’s units (Core Regulatory Functions, Strategy and Regulatory Outreach, Systems and Data, and Enforcement and Market Regulation). He or she is responsible for making recommendations to the Director on all legal and regulatory matters affecting any of the Division's units as well as the Exchange’s approved participants and approved persons. In support of the Senior Legal Counsel, Enforcement, the Senior Legal Counsel actively participates in investigation files and makes recommendations to the investigators. At the request of the Director, the incumbent collaborates with any committee or forum.

Responsabilities :

  • Serve as expert on market regulation in the Division;

  • Advise the Director on the operational and regulatory needs of market participants on the Exchange;

  • Perform regulatory and operational impact analyses for entities and persons subject to the Exchange’s regulations;

  • Respond to the Division’s needs concerning any legal or regulatory matters affecting the operations of market participants and those of the Division;

  • Advise the Division’s staff in (i) the Core Regulatory Functions unit, (ii) the Strategy and Regulatory Outreach unit, (iii) the Systems and Data unit, and (iv) and the Enforcement and Market Regulation unit on all matters related to regulations affecting market participants;

  • Serve as an expert witness for the Senior Legal Counsel, Enforcement in investigation and disciplinary files and make recommendations as required to the Director;

  • Advise the Director on regulations that would be desirable or would apply to the Division's operations and to market participants;

  • Recommend to the Director and initiate, in conjunction with the Senior Advisor, Market Regulation, desirable regulatory changes related to the Division’s operations and those of participants;

  • Provide legal advice on any issue of interest to the Division, including with respect to the regulation of derivatives, securities, and corporate law;

  • Stay abreast of new legal developments, regulatory requirements and market standards and practices, in both Canadian and international markets, that are relevant to the operations of the Exchange and its participants, and formulate recommendations to the Director and to the Vice-President and Chief Regulatory Officer of the Exchange;

  • Along with the Exchange's Legal Affairs unit, coordinate and participate in the resolution of any issues of legal or regulatory interpretation affecting the operations of participants and/or the Division’s regulatory activities.

  • In collaboration with the Director, represent the Exchange in its dealings with regulators within the framework of the Exchange’s regulatory activities, and respond to any request from the regulators or third parties in connection with the Exchange’s regulatory activities;

  • Contribute to public representation initiatives on regulatory reforms regarding derivative instruments;

  • Collaborate on any of the Division’s projects and perform any other related task assigned by the Senior Legal Counsel’s immediate supervisor.

Skills and experience:

  • Member of the Quebec Bar

  • At least ten (10) years of experience in the securities industry and/or in the trading of derivative products

  • At least ten (10) years of experience in regulatory compliance in the securities industry or derivative products or with a regulatory or self-regulatory organization (SRO) in securities or derivatives

  • In-depth knowledge of transactions related to financial derivatives trading

  • Canadian Securities Course

  • Derivative products training

  • Bilingual (spoken and written French and English)

  • Autonomy

  • Excellent writing skills, in both French and English

  • Excellent legal reasoning
