As Legal Counsel & Trade Compliance you will:
The position of Legal Counsel & Trade Compliance for L3HARRIS will provide legal support on a broad array of topics to various functional areas. The candidate will interact with members of senior leadership teams, providing leadership and guidance surrounding a broad range of legal matters affecting day-to-day business operations.
Act as in-house legal counsel to the L3HARRIS MAS Division, reporting to and in support of the Associate General Counsel
Work in close collaboration with Associate General Counsel and business partners in formulating strategy, identifying and / or mitigating legal risks and issues associated with contractual pursuits, data rights / licensing agreements, and on-going programs
Develop risk mitigation strategies, as appropriate
Provide leadership in ensuring employee compliance with Company Ethics standards, Company policies as well as compliance with applicable laws and regulations.
Provide legal support on a broad array of topics
Areas of focus will involve trade compliance, government and commercial contracts, government regulations, software, company policies, litigation, audits, corporate governance, cross border transactions, international law, human resources and other issues
Trade compliance includes:
Implement L3Harris corporate Trade Compliance policies and procedures at division
Work with internal / external stakeholders to obtain supporting documents, for Canadian Export and Brokering permits and U.S. re-export and re-transfer license applications.
Draft and submit Canadian Export and Brokering permit applications to Global Affairs Canada
Monitor Canadian Export / Brokering Permit, update internal stakeholders of permit status and update EXCOL with quarterly and semi-annual reports
Monitor, review and release blocked shipments and determine if a valid export authorization can be used to release the shipment in the ERP system
Support with the management of Technical Assistance Agreements (TAA), Warehouse Distribution Agreements (WDA) and Technology Control Plans (TCP)
Determine Export Classification and Jurisdiction of purchased and manufactured items (i.e. ECCN, USML, ECL, BCL, CGP) with support from Engineering, Procurement and IMS Segment classification teams
Conduct Restricted Party Screening (RPS) for all L3HARRIS business partners
Assist with trade compliance investigations, risk mitigation, audits and self-assessments
Provide timely legal advice on terms and conditions for prime contracts and subcontracts, teaming agreements, joint ventures and other business agreements. Draft and review documentation related to same and participate in negotiations, as required.
Stay abreast of new business laws and regulations impacting the aerospace and defense industry and brief management as required.
Bachelor’s degree in civil law, Juris Doctorate or LLB degree from an accredited law school
Quebec Civil Code experience
Bilingual (French and English) for reading and writing correspondence and legal advice in both language
BSc degree in a related technical or business field is desired but not necessary
Four (4) years of relevant experience is required, a portion of which has been as an in-house counsel with a Defence or Aerospace contractor or experience practicing in a major law firm
Must be in good standing with the federal and provincial courts and bar authorities where he / she is licensed to practice law
Excellent analytical, problem-solving, negotiation, and organizational skills
Effectively manages multiple tasks and can prioritize to meet deadlines
Passion for continuous improvement and education
Preferred Additional Skills:
Canadian Government Acquisition Regulations and contracting
Crafting and negotiating or supporting the negotiation of teaming and other collaborative agreements and superior analytical, legal research and writing skills, and the ability to synthesize information in a fast-paced environment
In depth knowledge of, and extensive experience with the following regulations:
Canada’s Export & Import Permits Act (EIPA)
Canada’s Controlled Goods Program (CGP)
International Traffic and Arms Regulations (ITAR)
Export Administration Regulations (EAR)
Must be eligible for registration to the Controlled Goods Program;
Must be eligible to obtaining and maintaining the government of Canada’s “Reliability” status and Level 2 (Secret) security clearance;
