About the role
Job Purpose
Reporting to the Principal, the Corporate Paralegal is responsible for maintaining corporate minute books, ensuring timeliness and excellence in completion of simple corporate transactions (including incorporations, annual returns, dividends, corporate changes, and dissolutions) and providing support to the Principal and Associate Lawyers in the completion of more complex legal projects (including corporate reorganizations, mergers, acquisitions and divestitures)
Key Duties & Responsibilities
Maintaining corporate minute books, including annual compliance filings and resolutions and updates following corporate transactions, with no oversight Maintaining electronic minute book program (ALF), with no oversight Completing simple corporate transactions (including incorporations, annual returns, dividends, name changes, director changes, share redemptions, non-arms’ length share transfers, etc) with minimal oversight and ability to issue spot using checklists, using document automation programs (ALF, HotDocs) Completing due diligence for corporate transactions, including (i) reviewing minute books and preparing minute book reports using document automation programs and (ii) reviewing due diligence searches and preparing due diligence reporting using document automation programs, for review by Principal or Associate Lawyers Preparing ancillary documents (share certificates, share assignments, etc) for corporate transactions with no oversight, using document automation programs Preparing and completing registrations and filings at Corporate Registry (amendments, amalgamations, etc), Land Titles and Personal Property Registry, with no oversight Maintaining project agendas for corporate transactions, including regular updates
Leadership Accountabilities
Documents drafted with consistent accuracy and negligible error rate Comprehensive and consistent identification of due diligence issues which are relevant to corporate transaction, including minute book deficiencies Information in minute books and electronic minute book program is accurate and complete, including shareholder and director ledgers, corporate filings and other documents (promissory notes, agreements, share certificates, share assignments, etc)
Skills And Qualifications
2-5 years’ experience as a corporate paralegal Experience with residential real estate considered an asset CORES II certification is a requirement
CORES III certification is considered an asset
Experience with ALF Corporate is considered an asset Proficient with MS Office Moderate technological competence Excellent attention to detail Ability to prioritize and effectively manage stress
