This role is part of the Company’s North American team, which is focused primarily on the development of solar and BESS projects in the United States and Canada, with most current activity in the United States. The Role

We are seeking a practical, business-minded, and highly organized Legal Counsel, Real Estate and Project Development to support the Company’s U.S. development platform, with a primary focus on title, survey, curative, project closings, and related real estate matters, while also supporting broader development and project specific legal workstreams as needed. Reporting to the General Counsel, this role will work closely with internal development, engineering, land acqisition, finance, and executive stakeholders, as well as outside counsel, title companies, surveyors, and other third parties, to help identify, assess, and resolve real estate and project-related legal issues across the portfolio.

This role is ideal for a lawyer who combines strong U.S. commercial real estate fundamentals with sound commercial judgment and a solutions-oriented approach. The successful candidate will be expected to manage day-to-day title and real estate legal workstreams with increasing independence, while also supporting project transactions and related in-house legal work as needed. This role requires substantive experience with U.S. real estate practice.

This role is fully remote for U.S.-based candidates and hybrid for Toronto-based candidates, with at least three days per week in the Company’s Liberty Village office. Occasional travel within the United States may be required.

Duties & Responsibilities

Title, Survey, and Curative

  • Oversee the review of title commitments, exception documents, surveys, and related due diligence materials, working with the Real Estate Specialist to identify key legal and commercial risks, and advise on appropriate next steps.

  • Oversee the review of property surveys, development materials, and related project documents, working with the Real Estate Specialist to identify easement and access issues, crossing requirements, encroachments, and other matters that may affect project viability, marketability, or financeability.

  • Help manage title curative workstreams across the project portfolio, including surface, mineral, and other title issues, and coordinate with internal teams and outside service providers to advance issues toward resolution.

  • Work closely with development, engineering, and other internal stakeholders to identify and resolve title, survey, access, and curative issues in a practical and commercially reasonable manner.

  • Assist in developing and refining internal trackers, tools, and processes relating to title review, curative, survey matters, and closing readiness to support scalable and efficient execution.

Real Estate and Project Closings

  • Review leases, lease amendments, easements, crossing agreements, access agreements, and other site-control or real estate-related documents, with a view to legal risk, commercial reasonableness, and closing requirements.

  • Review, and negotiate pro forma title policies and endorsements in connection with project sales, financings, and other closings, with a view to achieving clean, marketable, and financeable title consistent with transaction requirements.

  • Coordinate with title insurers, surveyors, land service providers, outside real estate counsel, and lenders’ or buyers’ counsel in connection with title review, survey matters, pro formas, endorsements, and closing deliverables.

  • Support project closings by reviewing and coordinating real estate-related closing documents, managing title and survey workstreams, and helping ensure closing deliverables are complete and insurable and financeable.

  • Conduct legal diligence and maintain issue tracking in connection with project sales, acquisitions, financings, and similar transactions.

Development and Legal Support

  • Support broader development legal matters as needed, including permitting-related agreements, access arrangements, and other project-level legal workstreams.

  • Provide secondary support on project transactions and related commercial agreements as needed, with the primary focus remaining on real estate workstreams.

  • Support the General Counsel on other in-house legal matters as needed.

  • Use sound judgment to escalate material legal, commercial, or reputational issues as appropriate, while handling day-to-day matters independently and efficiently.

  • Help maintain organized legal records, closing files, and supporting documentation, and contribute to clear communication and coordination across internal and external stakeholders.

Qualifications

  • 5+ years of legal experience, with significant experience in U.S. commercial real estate, U.S. real estate finance, or U.S. project development.

  • Law degree and licensed to practice law in the United States.

  • Strong grounding in U.S. real estate fundamentals, including title review, survey review, easements, access issues, and real estate diligence.

  • Experience reviewing and negotiating real estate-related agreements such as leases, easements, access agreements, crossing agreements, amendments, and related documents.

  • Experience supporting closings, financings, acquisitions, dispositions, or similar transactions involving real estate assets or development-stage projects.

  • Strong commercial judgment and the ability to provide practical advice that balances legal risk with business objectives.

  • Highly organized and detail-oriented, with the ability to manage multiple matters at once and keep workstreams moving in a fast-paced environment.

  • Strong written and verbal communication skills, with the ability to work effectively with internal teams and external counterparties.

  • Comfort working independently while also collaborating closely with business teams and outside advisors.

  • Experience in solar, BESS, infrastructure, or other development-oriented industries is strongly preferred.

  • Experience in-house or in a role involving regular cross-functional business collaboration is an asset.

  • Familiarity with U.S. title insurance, U.S. survey practice, and U.S. real estate closing processes is strongly preferred.

  • Experience working with land professionals, title agents, surveyors, or other non-lawyer real estate service providers is an asset.

  • Highly tech-savvy, with an openness to adopting and using new tools, including AI, email marketing platforms, dialing systems, and automation tools.

  • Strong organizational skills and attention to detail.

  • Clear and confident communicator who can drive accountability and improve execution without relying on formal hierarchy.

  • Demonstrated ability to thrive in a fast-paced, evolving environment and improve how a team works, not just what it does.
