Job Title: Law Clerk, Subsidiary Governance Location: Hybrid (Toronto ON) Work Model: Hybrid/Remote Duration: Contract 1 year
Rate: $30-35/hr on T4
We are seeking an experienced Law Clerk, Subsidiary Governance to support the Corporate Secretary's Department and Canadian Subsidiary Boards. This role focuses on corporate governance, board administration, legal documentation, regulatory compliance, and maintaining corporate records. The ideal candidate will be highly organized, detail-oriented, and capable of managing multiple priorities in a fast-paced environment while handling confidential information with discretion.
Key Responsibilities: Draft and maintain governance documents including board minutes, resolutions, consent documents, and corporate memoranda. Maintain and update Canadian subsidiary minute books and corporate records. Manage signing authority records and update authorized signatories in accordance with established approval processes. Coordinate and respond to internal requests related to certifications, corporate information, governance documentation, and signing authorities. Schedule and coordinate Board meetings, Board planning meetings, and related governance activities. Support governance initiatives, special projects, and process improvement activities within the Corporate Secretary's Department. Collaborate with directors, officers, legal teams, and internal stakeholders to ensure compliance with governance requirements. Maintain accurate records and documentation in a paperless environment.
Requirements: 5+ years of experience in a Corporate Secretary's Department, corporate governance function, law firm, or related legal environment. Post-secondary education or an equivalent combination of education and relevant experience. Experience drafting board minutes, resolutions, governance documents, and corporate records. Strong knowledge of Microsoft Office Suite (Word, Excel, PowerPoint, Outlook). Understanding of Canadian corporate governance practices and regulatory requirements. Strong organizational, time management, and communication skills. Ability to handle confidential and sensitive information with professionalism and discretion.
Preferred Qualifications: Experience supporting subsidiary boards and corporate governance activities. Law Clerk designation is considered an asset. Experience administering Board Portal platforms such as Diligent Boards or Boardvantage. Knowledge of: Canada Business Corporations Act (CBCA) Ontario Business Corporations Act (OBCA) Insurance Companies Act (Canada) Trust and Loan Companies Act OSFI Guidelines Commitment to staying current with applicable legislation and regulatory requirements.
Ideal Candidate: Law Clerk, Corporate Law Clerk, Paralegal, Corporate Governance Coordinator, or Corporate Secretary professional. Experienced in corporate governance, board administration, and maintaining corporate records. Strong attention to detail and ability to manage multiple priorities. Proactive, organized, and capable of working independently with minimal supervision. Comfortable working in a high-volume, fast-paced, paperless environment. Excellent written and verbal communication skills.
