Office of the General Counsel and Board Secretariat (GCBS)
The Office of the General Counsel and Board Secretariat (GCBS) is responsible for providing strategic legal, compliance, privacy and risk advice, facilitating sound decision-making and processes, and enabling the University to carry out its academic mission in accordance with the University’s legal, governance and regulatory responsibilities. GCBS has responsibility for key University legal, governance and risk functions including legal services, privacy, access to information, compliance, enterprise risk management, and facilitation and coordination for the University’s Board of Governors.
The Opportunity
The Program Manager, Governance provides specialized governance support and administration for the Board of Governors and Committees of the Board of Governors, by leveraging in-depth knowledge of organizational structures and governance best practices.
Manages all aspects of the Standing Committees of the Board of Governors to ensure the effective implementation of governance activities. Provides training and recommendation to other GCBS staff with respect to governance protocols and best practices. Provides expertise and knowledge in maintaining high standards of governance work and manages related timelines. Supports senior leadership in the selection of items that need to be brought to the Board Committees for decision making. Administers the day-to-day operations of the Board Secretariat.
Key Responsibilities
Provides specialized governance support from acting as a final reviewer to enhance proposals, identify roadblocks and support a seamless approval process by the committees and by the Board, to provide essential clarifications to committee members and chairs to enable informed decision-making. Support the Board Secretariat in the management of governance activities of the Board of Governors,including necessary logistical arrangements, manage annual governance work frames, schedule all meetings required, handling inquiries from the Board members and leading and supporting new and ongoing projects. Ensure effective record management of sensitive and confidential Board and University governance files, maintains and safeguards public records of the Board and Committee meeting agendas, lead governance related research and provide resources in governance legislations and best practices. Manage ongoing changes to committee and sub-committee administration, including timelines. Provide operational support, including mentoring and oversight to junior staff with respect to staff, manage hiring, training and onboarding of new students process financial transactions associated with activities to support the Board team.

Qualifications
Successful completion of a post-secondary degree in a Business Administration, Public Administration or a related discipline Governance Professionals designation or working towards the designation Minimum five (5) years of relevant experience in an administrative and/or client service oriented role that includes experience in governance work, non-for-profit governance work, Board and Committee meetings, including managing meeting agenda, documentation and records, meeting minutes drafted and processed Exceptional written communication skills. Strong interpersonal skills, including, ability to deal professionally, diplomatically and sensitively with all types of individuals and confidential issues appropriately. Strong time-management and organizational skills with the ability to prioritize and ensure completion of work Strong scheduling skills to support a complex series of Board and Committee Dates, pre-briefs and board rehearsals; Ability to work in a fast-paced environment while demonstrating a high-degree of accuracy and an attention to detail Ability to work collaboratively within a team environment; Ability to handle sensitive and confidential issues appropriately Adaptability/flexibility; Analytical skills Knowledge of software applications (e.g., Diligent Board Portal, Office Suite Products, Google Applications, Excel) Knowledge of word processing and spreadsheet applications Strong interpersonal skills, including the ability to handle sensitive and confidential issues appropriately
