The Regulatory Division of the Montreal Exchange inc. ( the “Division”) is seeking a highly qualified Legal Counsel to advise the Division on legal, contractual and regulatory matters pertaining to its regulatory functions and activities. Reporting to the Director, Legal and Regulatory Affairs, this position is part of a high-performing legal team.

RESPONSABILITIES:

  • Providing a full suite of legal advisory services to the Division, including a broad range of legal and regulatory matters, and liaising with various derivatives and securities regulators, and stakeholders in Canada and abroad, including the Autorité des marchés financiers.
  • More specifically, the incumbent will:
    • Provide legal advice for the Division with respect to relevant legislation and regulatory requirements.
    • Negotiate, draft, and interpret a broad variety of commercial agreements, and advise on areas that include contractual, corporate, privacy laws.
    • Draft opinions, rules, policies and procedures governing the regulation of derivatives in close collaboration with staff in various fields in the Division and other stakeholders.
    • Support the Division’s compliance with its regulatory obligations, in accordance with applicable laws and requirements, notably the Recognition Order issued by the Autorité des marchés financiers.
    • Oversee the preparation of materials for board and sub-committee meetings.
    • Maintain current knowledge of Canadian and international legal developments, regulatory requirements and market standards which are relevant to the Division.
    • Provide regulatory and legal support to other services within the Division as required by the Director of Legal and Regulatory Affairs.
  • The ability to rapidly develop strong relationships, to make a significant contribution to a team and to effectively align a broad range of key stakeholders’ interests will be key to success in this role.

REQUIREMENTS:

Education:

  • University law degree
  • Member in good standing of the Quebec Bar

Experience:

  • 5 to 10 years’ experience as a well-rounded corporate/commercial/compliance/securities/ lawyer with a top tier law firm or in-house at a financial services institution or investment firm
  • Strong background in commercial and regulatory matters and in dealing with securities regulators or other regulators
  • Significant experience in drafting and negotiating commercial agreements

  • Fully bilingual (French-English), spoken and written
  • Effective team player, with a “business partner” approach to servicing clients internally and externally
  • Excellent analytical skills and sound legal/business judgment

This role is required to know a language other than French as TMX is an international organization with operations across the globe and its clients, shareholders, competitors, stakeholders, regulators and employees communicate in English.
