Headquartered in Montreal, the Chief Legal Officer, Montreal Exchange, is lead legal counsel to Bourse de Montréal (MX), and also provides legal support to TMX Group’s post-trade clearing facilities at the Canadian Derivatives Clearing Corporation (CDCC) and the Canadian Depository for Securities (CDS). The CLO is a trusted provider of expert and strategic legal advice to the MX leadership team, and leads a small team of legal professionals within the larger matrix structure of TMX’s Office of the General Counsel. The CLO advises on the wide range of legal matters affecting MX and the post-trade businesses, and, together with the Montreal legal team, is integral to achieving their objectives.

Department Overview:

TMX Group’s Office of the General Counsel is a high-performing legal team with offices in Toronto, Montreal, Vancouver and London and is responsible for providing TMX Group and its subsidiaries with the full suite of legal services they need to support and develop their businesses, including with respect to corporate, securities, governance, regulatory, commercial and intellectual property law.

Role Summary:


Headquartered in Montreal, the Chief Legal Officer, Montreal Exchange, is lead legal counsel to Bourse de Montréal (MX), and also provides legal support to TMX Group’s post-trade clearing facilities at the Canadian Derivatives Clearing Corporation (CDCC) and the Canadian Depository for Securities (CDS). The CLO is a trusted provider of expert and strategic legal advice to the MX leadership team, and leads a small team of legal professionals within the larger matrix structure of TMX’s Office of the General Counsel. The CLO advises on the wide range of legal matters affecting MX and the post-trade businesses, and, together with the Montreal legal team, is integral to achieving their objectives.

Key Accountabilities:

  • Lead the Montreal legal team as front-line legal advisors on all matters pertaining to the MX business.
  • Leveraging GCO’s other specialized legal teams, including Commercial, Regulatory and Governance, ensure provision of the full suite of legal services to MX including business development, operations, risk management, major projects and initiatives, and compliance with domestic and international regulatory requirements
  • Lead the MX legal and regulatory strategy and act as a member of the business’s executive leadership team.
  • Represent MX and the post-trade businesses before various regulatory and administrative authorities, including the Autorité des marchés financiers, the Ontario Securities Commission and the Bank of Canada
  • Oversee the processes for the revision and development of the MX rulebook
  • Provide leadership in areas of global and domestic regulatory reform affecting derivatives and clearing operations, in collaboration with TMX’s Vice President - Regulatory
  • Lead, mentor and develop the Montreal legal team

Skills and Experience:

  • Member in good standing of a Canadian Law Society or acceptable equivalent
  • Bilingual (French-English), spoken and written
  • Minimum 10 to 15 years’ legal experience in corporate, commercial and/or securities, or equivalent experience, with a reputable company or top tier law firm
  • Has an understanding of the operation of capital markets. Experience with derivatives is considered an asset
  • A demonstrated leader with experience mentoring and coaching others
  • Adept at managing a busy practice with competing priorities, and multiple stakeholders and initiatives
  • Broad experience dealing with regulatory matters
  • Team-oriented and, ideally, experienced working with multiple teams, in a Canadian or global business organization
  • Effective influencer

  • Result-oriented, client-focused and practical
  • Demonstrated ability to develop and implement effective legal strategies and objectives
  • Strong relationship-building skills with internal and external stakeholders
