 Summary

The incumbent is a key member of the management team.  The incumbent is responsible for providing advice and support to both Jubilant HollisterStier (JHS) and Jubilant DraxImage Inc. (JDI) senior management on a range of compliance matters, strategic planning purposes, identification of potential areas of legal vulnerability, and risks of various business and corporate matters.

Responsabilities 

  • Prepare, review and negotiate various legal documents, including complex commercial agreements, distribution agreements, intellectual property agreements, technical agreements, license agreements, leases and contract, as well as agreements relating to the general operation of the company;
  • Respond to requests from internal stakeholders to draft, review and comment on legal contracts and other legal documents;
  • Serve as a trusted advisor to the senior management team, providing sound advice on relevant issues facing the company;
  • Provide legal counsel and advice to executives across the organization, ensuring understanding of issues and impacts, providing options and their associated risks and presenting a recommended approach;
  • Respond to queries and concerns from internal stakeholders, drafting correspondence, advising verbally or formally documenting alternatives and recommendations and facilitating desired outcomes;
  • Conduct legal research as required;
  • Manage and oversee litigation matters for the organization and be involved in settlement discussions;
  • Manage outside counsels relationships and costs, supervise and coordinate work perform by outside counsels;
  • Liaise with external counsel and legal representatives, enlisting additional counsel and advice on areas outside of expertise or where a third-party opinion is desired;
  • Be the "eyes and ears" for areas that may present legal or regulatory risks or require further attention;
  • Work with appropriate business, financial and other internal functions to ensure appropriate due diligence and risk management; and ensure that the terms of agreements are in accordance with market forces, company policies and applicable laws;
  • Participate in the development and execution of the organization's business plans;
  • Provide advice from a legal perspective to senior management for strategic planning purposes and participate in the strategic planning process;
  • Monitor legislative changes, assessing application to the organization's operations and recommending areas for policy and practice revisions;
  • Prepare and update corporate policies in accordance with applicable law;
  • Provide support for corporate secretarial matters, including drafting of corporate resolutions and declarations;
  • Maintain the patent and trademark portfolios for the organization and apply for intellectual property registrations;
  • Maintain high standard of quality as defined by various regulatory agencies;
  • Maintain at all times a good spirit of collaboration with internal and external clients.
  • Performs additional duties as assigned by Management.

Requirements  

  • Over 10 years of experience in a commercial or industrial  organization (pharmaceutical or similar industry would be an asset);
  • Sound legal expertise in Intellectual Property Law gained by experience from working as an in-house lawyer in a commercial or industrial organization would be a strong advantage; Strong understanding of Legal Affairs;
  • Knowledge of contract law, corporate and business laws and track record in managing a variety of contracts and legal matters;
  • Excellent interpersonal skills, including the ability to effectively interact with a range of personalities and styles and to establish effective relationships at all levels of the organization;
  • Excellent verbal and written communication skills in both French and English;
  • Ability to clearly and succinctly explain legal issues, legal implications and consequences of actions in understandable terms;
  • Ability to provide calm, measured and logical approaches to problem resolution to enable potentially volatile situations to be readily diffused;
  • Proven ability to multi-task competing priorities and excellent attention to detail;
  • Ability to quickly grasp and understand the organization's business systems and the industry's best practices;
  • Strong negotiation skills with the ability of identifying areas of concern and presenting them to leaders with recommendations;
  • Sound management skills and results-oriented mindset;
  • Ability to perform duties in a professional, courteous manner and produce high quality work while meeting deadlines;
  • A strong client service orientation with an understanding of and ability to effectively work in a multicultural environment with multiple diverse personalities; and an ability to appreciate that people with different opinions, backgrounds and characteristics bring richness to the challenge or situation at hand;
  • Experience working within a matrix environment and in an international context is a strong advantage;
  • Due to the complexity of the legal tasks combined with an international team, must be flexible, open minded, robust, creative and have excellent communication skills.
