The Senior Legal Counsel, LATAM & Caribbean contributes to the overall success of the Legal Department in Canada ensuring specific individual goals, plans, initiatives are executed / delivered in support of the team’s business strategies and objectives. Ensures all activities conducted are in compliance with governing regulations, internal policies and procedures.

Provide expert legal advice on all matters related to LATAM and the Caribbean countries and markets – including, but not limited to, litigation, M&A, due diligence and other transaction support, labour relations, local securities offerings, privacy and cyber, regulatory, and other matters as required

Accountabilities

  • Champions a customer focused culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge.
  • Play a key relationship management role with the legal teams in each of the Bank’s LATAM and Caribbean subsidiaries and branches.
  • In coordination with Litigation, assist in overseeing litigation and related reporting involving global subsidiaries.
  • Support the provision of legal advice on all matters related to the above countries and markets – including, but not limited to, litigation, M&A, due diligence and other transaction support, labour relations, local securities offerings, privacy and cyber, regulatory, and other matters as required.
  • Assist the VP & Associate General Counsel LATAM & Caribbean with all major projects, including analysis and reporting on the legal aspects of applicable regulatory issues.
  • Prepare reports on the main legal issues and developments for each of the global subsidiaries, including but not limited to the following matters: new regulations; litigation, reputational risk, main transactions, regulatory issues, third party risk management and outsourcing, inter-company transactions, retail and customer agreements, corporate security/cyber breach.
  • Creates and maintains appropriate legal standards and related internal controls, transactions, and best practice precedents within the Legal Department and for use by global subsidiaries and branches as appropriate.
  • Conduct researches on legal issues of substantial complexity on an international basis to evaluate impact on the Bank; inform management on developing international legal trends and their impact on operations and recommends courses of action;
  • Understand how the Bank’s risk appetite and risk culture should be considered in day-to-day activities and decisions
  • Actively pursues effective and efficient operations of his/her respective areas in accordance with Scotiabank’s Values, its Code of Conduct and the Global Sales Principles, while ensuring the adequacy, adherence to and effectiveness of day-to-day business controls to meet obligations with respect to operational, compliance, AML/ATF/sanctions and conduct risk.

Qualifications

  • Graduate of a recognized law school with significant practical in-house or private practice experience.
  • Licensed to practice law in Canada or in one of Bank’s key Latin American or Caribbean countries
  • The legal assignments cover a broad range of Bank related matters or specialized areas of law.
  • The ideal applicant will have 8-10 years of substantial practical in-house practice or private practice in commercial, banking, securities and administrative law gained from a major financial institution, corporation or law firm.
  • The position requires a high degree of analytical and communications skills, and a thorough knowledge of specialized areas of law. Highly developed human relations and management skills are critical.
  • Excellent problem-solving skills.
