We’re always looking for people who are passionate about making a positive change in healthcare to join our team. We are looking to recruit a General Counsel based in our Toronto office.

The Role

Reports to the Chief Financial Officer, works with key business leaders, including the heads of Sales, HR, Business Development and Product Development.

Serves as the first point of contact and counsel for all corporate legal matters.

Works as corporate generalist with strong emphasis in corporate compliance, global entity/subsidiary governance and general corporate issues including substantive legal areas such as contracts, real estate, intellectual property, employment, and data protection. Supports and manages acquisition diligence and transaction execution. Supports customer contract negotiations.

Enjoys a high pace environment working either autonomously or within teams and with business leaders.

Responsibilities & Duties:

  • Work with business teams around the globe to negotiate agreements with customers, suppliers and other third parties, resolve commercial disputes, advise on employment issues and handle real estate and intellectual property matters, etc.
  • Manage Acquisition legal diligence processes, and support acquisition execution.
  • Provide legal advice and support in furtherance of RLDatix’ s business strategies and initiatives
  • Obtain and oversee legal and related services from law firms when needed and other providers and manage the costs consistent with RLDatix budget objectives. Manage and report on all legal expenses.
  • Overall responsibility for the design, implementation and effectiveness of compliance programs across the company’s and its subsidiaries’ businesses.
  • Oversee periodic enterprise risk management evaluations intended to identify, assess, monitor and mitigate risks that may affect RLDatix generally, so they are managed within acceptable risk tolerance levels.
  • Work with Business Segment leaders on a variety of corporate legal matters and handle global entity management / subsidiary governance activities.
  • Protect RLDatix’ s competitive and legal interests, manage risks, and foster profitable growth of the business.
  • Provide legal analysis and advice to enhance the business’s ability to develop and market its products and service offerings.
  • Develop and modify practices, policies and procedures to conform with business requirements and maintain compliance with applicable laws and regulations.

Qualifications:

  • Legal degree from accredited Canadian or US law school and current provincial or state bar membership in good standing
  • 10+ years of professional legal work experience
  • Experience in Software and Technology industry is preferred
  • Experience in Healthcare industry is a plus
  • Experience in client facing direct contract negotiations. Drafting and reviewing complex commercial agreements; Leading contract negotiations with sophisticated counter-parties
  • Experience in legal practice areas such as Intellectual Property, Software licensing, GDPR Compliance, employment and labor, real estate, etc.
  • Experience in M&A.
  • Mix of law firm and in-house experience
  • International experience
  • Advanced communication skills and ability to understand, interpret and convey business, technical, legal and financial information to others
  • Experience driving continuous improvement in processes and performance; results and detail-oriented
  • Well-developed skills in the use of technology including the entire Microsoft suite of offerings including Outlook, Word and Excel
  • Ability to work independently yet exhibit sound judgment in seeking guidance and direction from senior attorneys and escalating issues.
  • Ability to travel both domestically and internationally as needed.
