The Legal Counsel, Corporate is accountable to the Senior Vice President and General Counsel for a wide range of corporate, governance and real estate matters protecting the interests of the company and its clients against risks associated to ensuring compliance with applicable government regulations, internal policies and procedures. This will include providing legal advice and broad-based support to the company’s various business units.


  1. Legal Advice and Drafting
    Draft, negotiate, and revise a broad range of commercial agreements working closely with business groups to identify risks and provide practical solutions and advice on a variety of business and operational matters. Some specific responsibilities will include review and negotiation of service agreements (property management, asset management, co-ownership agreements), supplier agreements, IT contracts, real estate listing agreements, letters of intent draft, negotiate, and act as an authority with our clients and staff alike in respect to same.
  2. Transaction and External Counsel Management
    Review and comment on relevant real estate agreements and partner with the appropriate business leads to close real estate transactions (purchases, sales, financings) while acting as primary liaison with external counsel on the transaction and ensuring proper reporting.
  3. Litigation and dispute Resolution
    Manage litigation and similar regulatory matters with external counsel and ensure proper reporting.
  4. Corporate Secretarial
    Support the General Counsel in the corporate secretarial functions of the company and work with law clerks to ensure that various required private entity client investment and joint venture meetings are held and properly conducted and act as an authority with our clients and staff alike in respect to same.
  5. Compliance
    Collaborate with the General Counsel in the development of strategic legal projects. Perform various compliance and regulatory functions and lead initiatives, especially with regards to privacy, Accessibility for Ontarians with Disabilities Act (AODA), financial transaction and reporting (Fintrac), real estate brokerage licensing, language laws, and keep abreast of legislative or regulatory changes that will require implementation. Corporate policy drafting, training, compliance, and administration.
  6. General Business Support
    Business and legal support, including the development of corporate policies and procedures, to all business groups, but especially environmental, marketing, office/industrial, enclosed retail, multi-residential and information technology; and.
  7. Management and Administration
    Administrative (invoice and expense) review and management, PIN requests, review of filings, execution of documents, staff supervision and human resources matters, client requests and communications.

Any other job related duties and/or projects that may be assigned.

Minimum Requirements

Skills, Knowledge, Experience and Education

  • Law Degree from Accredited University (L.L.B. or J.D.), in good standing with the Law Society of Ontario
  • Minimum 5-8 years experience gained in private practise or relevant in-house role, in one or more areas of real estate, corporate/commercial transactions
  • Experience reviewing and negotiating commercial contracts
  • Experience advising on acquisition, disposition, finance transactions
  • Proficient research and computer skills (familiarity with Teraview registration software considered an asset).
