Counsel; Legal Affairs Department

WHAT YOU NEED TO KNOW

BCI manages a globally diversified portfolio of assets valued at over C$153.4 billion and is one of Canada's largest institutional investors. We invest globally to support pension and other public sector funds of more than 30 BC-based clients. We are currently seeking Counsel to work within our Department of Legal Affairs, responsible for providing transaction legal services in relation to BCI's investments. This is a great opportunity to work on complex global transactions in an in-house environment.  

WHO YOU WILL WORK WITH

The Legal Affairs department provides in-house legal expertise and support to the board, management and all departments to help manage legal risk and protect BCI's investment and business interests.

WHAT YOU WILL BE DOING

Reporting to Senior Counsel, Counsel is responsible for providing transaction legal services in relation to BCI's investments, including providing legal advice to investment professionals, investment support teams and the corporation generally. Counsel works in a team environment with other members of the Legal Affairs department and external counsel, principally to assist deal teams in executing their investment strategies, working with the private equity, infrastructure, renewable resources, private debt, and public markets departments in connection with acquisitions, dispositions and fund investments (including private equity and hedge funds).

The Ideal Candidate

Must have:

  • A Law degree (LL.B. or J.D.)
  • Called or qualified to be called to the bar of British Columbia
  • 5-8 years' experience at a leading law firm, investment fund manager or leading investment corporation
  • Experience with global, cross-border mergers and acquisitions

Preferred:

  • Experience with statutory entities, pension law and government agency status
  • Securities, anti-trust and/or hedge fund experience
  • Outstanding legal quarterbacking project management skills
  • Coordination skills across teams including with deal teams, tax and compliance

PRIMARY RESPONSIBILITIES 

  • Provide legal advice and support to investment departments, coordinating legal advice and support for complex transactional and investment activities
  • Review, revise, originate and negotiate investment related agreements
  • Marshall regulatory processes to close investment transactions
  • Provide guidance on contractual, legal, regulatory and governance requirements
  • Provide advice on the impact of BCI activities in relation to its regulatory framework, statutory obligations and legal obligations
  • Identify legal and regulatory risks, working with others to appropriately manage or mitigate those risks within BCI's business environment and commercial strategies
  • Build relationships and communicate effectively with internal and external stakeholders
  • Anticipate and foresee legal and business risks specific to own area of expertise and business risk tolerance
  • Evaluate issues accurately and escalate appropriately
  • Make decisions, form strategy and execute independently with minimal supervision
  • Resolve complex issues within areas of expertise and experience
  • Approach work with an understanding of how it relates to the long-term objectives and strategies of the legal department and the business generally
  • Support other corporate projects assigned by General Counsel
