PRIMARY PURPOSE OF JOB: Reporting to the VP Legal and General Counsel, this position is responsible for assisting with corporate, legal and secretarial matters impacting Gibson entities, including ensuring compliance with applicable legal and regulatory requirements as well as corporate policies and procedures. This position deals with routine as well as potentially difficult, complex or unusual legal matters and decisions are resolved through consultation with the VP Legal and General Counsel and appropriate business or functional unit personnel.
Please note: This is a 12-13 month fixed-term maternity leave position.
ACCOUNTABILITIES: · Provide practical legal advice, expertise and direction on corporate operations and transactions to management and employees of all Gibson entities · Ensure day-to-day business activities and ongoing business strategies are carried out in a legal and ethical manner, and in compliance with all relevant organization policies, industry standards, applicable laws and regulations of government authorities having jurisdiction · Provide legal advice to operations, functional and other personnel on a wide variety of legal matters associated with ongoing and planned business unit operations · Assist in the identification and management of risk for the organization and lead initiatives to mitigate such risks when possible · Direct outside counsel on various corporate legal matters · Lead preparation and completion of high-level legal agreements in support of various Gibson entities and business units · Provide legal support on other corporate legal matters including acquisitions, divestures, insurance, litigation management, financing and securitization, environmental, safety and human resources matters · Undertake and lead special projects as required · Communicate with the Executive Team and Business and Functional Unit Management on relevant legal matters · Promote communication and understanding of legal matters / expectations · Communicate, maintain and enforce organizational policies, procedures and standards necessary for the integrity of the organization, its assets, personnel and business operations · Other duties as assigned

QUALIFICATIONS: · Bachelor of Laws (L.L.B.) Degree · Membership/eligibility for membership in a provincial law society · Minimum 4 years of relevant business and general corporate law experience · Public company experience (securities, financings, insider requirements, continuous disclosure) is an asset · Energy industry experience is an asset
