Job summary

Senior Legal Counsel On behalf of our esteemed client, an oil and gas company, we are searching for an in-house Senior Legal Counsel. This Calgary-based firm has approximately 160 employees with a legal team of approximately 3 people (1 GC, 1 Legal Contracts Specialist, and a Paralegal). The Securities lawyer we seek needs the following experience: MUST-Have Experience: Experience with securities law, including mergers and acquisitions (public and private) and financing transactions 7 years of experience from within a law firm, working on securities deals in larger, public corporations Ability to negotiate and draft definitive transaction documents, including purchase agreements, arrangement agreements, prospectuses and offering memorandums, underwriting agreements, subscription agreements, commercial contracts, disclosure schedules, organizational documents, and other ancillary agreements Manage the transaction and due diligence processes for various corporate matters, including mergers and acquisitions, capital markets offerings, divestitures, and other business transactions Provide ongoing legal advice on corporate governance, shareholder activism, and general corporate matters, including preparing annual proxy statements, drafting corporate policies, and preparing board materials Manage the due diligence process and preparation of due diligence reports for public and private target companies Please note, this is a permanent, full-time, and on-site role in Calgary, Alberta.
