We are looking for a Finance, Legal & Compliance Officer to support the corporate, legal, compliance and finance requirements of Monark and its portfolio companies. This is a hands-on, cross-functional role that will help ensure our corporate entities are properly maintained, our legal and regulatory obligations are met, and our commercial relationships are appropriately documented. Working closely with Finance, senior leadership, portfolio companies and external legal counsel, you will be a key internal resource for corporate governance, contracts, compliance and finance-related matters. What you will do Manage corporate records, minute books, registers, annual returns and statutory filings across Monark and its portfolio companies. Coordinate corporate registrations, licence renewals and other regulatory and compliance requirements, ensuring key deadlines and obligations are effectively tracked. Prepare corporate resolutions, director and shareholder documentation and support incorporations, reorganizations, ownership changes and other corporate transactions. Draft and review commercial agreements, including service agreements, consulting agreements, confidentiality agreements, intercompany agreements and other routine business contracts. Review contracts to identify key commercial and financial terms, obligations, renewal and termination provisions, and areas of potential risk. Maintain centralized oversight of material contracts and agreements, including key dates, renewals, expirations and contractual obligations. Partner with Finance on banking documentation, KYC, beneficial ownership, insurance, financing arrangements and other corporate and financial compliance requirements. Support due diligence for acquisitions, investments, financing arrangements, new business initiatives and other strategic transactions. Coordinate with external legal counsel on corporate and commercial matters and ensure required documentation and information is prepared and maintained. Support regulatory filings, licensing applications, audits, compliance reviews and information requests across Monark's portfolio companies. Identify potential corporate, contractual and compliance risks and work with internal stakeholders to implement practical solutions and appropriate controls. Conduct corporate, legal and regulatory research and provide clear, concise findings and recommendations to Finance and senior leadership. Support the development and maintenance of corporate policies, procedures, internal controls and compliance frameworks. Provide regular reporting and visibility over key corporate, contractual, legal and compliance matters across the portfolio. In order to be successful, you will bring Post-secondary education in Business, Commerce, Finance, Legal Studies or a related discipline; paralegal training or legal education is considered an asset. 3–5 years of relevant experience in corporate services, finance, legal operations, compliance, corporate governance or a related environment. Experience managing corporate records, statutory filings and governance documentation across multiple legal entities. Experience drafting and reviewing commercial contracts, business agreements and other corporate documentation. A strong understanding of corporate structures, governance and general compliance requirements. Strong commercial and financial acumen with the ability to understand the business and financial implications of contracts and corporate matters. Strong research and analytical skills with the ability to interpret legal, regulatory and contractual requirements and translate them into practical business actions. Exceptional attention to detail with the ability to manage multiple entities, deadlines and competing priorities. A proactive, solutions-oriented mindset with the confidence to take ownership of matters and drive them through to completion. Sound judgment and discretion when handling confidential, legally sensitive and commercially sensitive information. Excellent written and verbal communication skills with the ability to work effectively with Finance, senior leadership, portfolio companies and external professional advisors. The ability to work independently and collaboratively in a fast-paced, entrepreneurial environment where priorities and business requirements continue to evolve.
